Terms & Conditions

1. Agreement to Terms

By accessing or using the Stackabs website (stackabs.com) or engaging our services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not use our services.

2. Services

Stackabs provides web development, digital marketing, design, and related digital services ("Services"). The specific scope, deliverables, timelines, and fees for each project are defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

3. Payment Terms

Unless otherwise agreed in writing: (a) 50% of the project fee is due upon project kickoff; (b) the remaining 50% is due upon project completion and before final deliverables are transferred. All invoices are payable within 14 days. Late payments may incur a 1.5% monthly interest charge.

4. Intellectual Property

Upon receipt of full payment, Stackabs transfers all intellectual property rights for the custom deliverables created specifically for your project. We retain the right to showcase the project in our portfolio unless you request otherwise in writing. We retain ownership of pre-existing tools, frameworks, and methodologies used in project delivery.

5. Client Responsibilities

Clients are responsible for: providing timely feedback and approvals, supplying all required content and assets, ensuring they have rights to any materials provided to us, and designating a single point of contact for project communication.

6. Revisions & Scope Changes

Each project includes a defined number of revision rounds as specified in the SOW. Additional revisions or scope changes beyond the agreed scope will be subject to additional fees, documented via a Change Order.

7. Confidentiality

Both parties agree to keep confidential all non-public information shared during the project. This obligation survives the termination of the engagement.

8. Limitation of Liability

To the maximum extent permitted by law, Stackabs' liability is limited to the total fees paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate a project with 14 days' written notice. Client is responsible for payment of all work completed up to the termination date. The initial deposit is non-refundable.

10. Governing Law

These terms are governed by the laws of Alberta, Canada. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in Calgary, Alberta.
